We have expertise in structuring, documenting, negotiating and managing complex, large-scale outsourcing arrangements for both procurers and suppliers.

- Drafting and negotiating long term services and supply agreements, including technical schedules and ancillary documents
- Advising on development and integration issues
- Advising on business separation issues, including transitional services arrangements

- Ongoing contract management of outsourcing arrangements
- Advising on disputes in relation to outsourcing arrangements
- Advising on the tax aspects of outsourcings, including royalties, tax depreciation and GST issues

Recent examples of our experience include advising on some of the largest outsourcings recently undertaken in New Zealand, including:
- Acting for Genesis Energy on its roll out of smart metering technology. This new technology will replace 60 year old metering technology and will be made available to the 500,000+ retail customers of Genesis Energy.
- Acting for Fonterra on the outsourcing of its ADM function to HCL Technologies.
- Acting for Fonterra on the outsourcing of its telecommunications infrastructure services to EDS and subsequently to gen-I, including providing ongoing contract management in respect of the arrangements.
- Acting for Telecom on the separation of Yellow Pages Group from Telecom's systems, and the subsequent transitional arrangements between the parties.
- Acting for Westpac on its telecommunications procurement project, one of New Zealand's largest telecommunications deals.
- Acting for NZ Lotteries Commission on the transformation of its IT systems.
- acting for Genesis Energy on its call centre arrangements with SITEL.
- Acting for the Ministry of Defence in connection with the development and integration of hardware and software to upgrade the core mission systems of the P-3 Orion aircraft.
