We have extensive experience in both domestic and offshore capital markets programmes, and regularly advise in relation to debt, equity and hybrid issues (both listed and unlisted), including advising on employee share schemes and providing advice to offshore issuers wishing to include New Zealand in an international securities offer. We also act in relation to structured capital market programmes, including asset-backed and synthetic securitisations.
Partners in our firm are recognised as experts in the capital markets sector and are acting members of working groups and advisory panels established by the NZX, Ministry of Economic Development and Takeovers Panel to consider and advise upon legal issues in this sector.
Demonstrating our strength in this area, Russell McVeagh has recently been involved in a range of innovative domestic and international capital markets transactions. These include structured products, for example the Commodity Bonds issued by Generator Bonds Trust and arranged by Macquarie Bank, corporate issues such as the first "Maple Bond" by a New Zealand corporate issued by Telecom New Zealand into Canada, and hybrids such as the perpetual convertible bonds issued by Infratil.
