Pip specialises in securities offerings, mergers and acquisitions, takeovers and general corporate advisory work. She has recently worked on a number of high profile New Zealand corporate transactions.
Pip acts as relationship partner for key Russell McVeagh clients including ANZ National Bank, Auckland International Airport, Fairfax Media, Kiwi Income Property Trust, Lion Nathan, Telecom.
Prior to joining Russell McVeagh as a partner in 2000, Pip was a partner at another New Zealand law firm.
- Acted for Telecom New Zealand in its disposal of Yellow Pages Group for $2.24 billion.
- Advised Auckland International Airport in relation to the proposals made by Dubai Aerospace and Canada Pension Plan Investment Board.
- Acted for Fairfax Media on their entry into New Zealand through the acquisition of the New Zealand publishing assets of INL and its acquisition of TradeMe (New Zealand's leading internet business).
- Acted for Fairfax Media in relation to a public offer of $150 million listed redeemable preference shares.
- Represented Infratil Limited, a specialist investor in infrastructure and utility assets, in its acquisition of Alliant Energy, giving it a controlling interest in electricity retailer TrustPower.
- Acted for CanWest Global Communications Corp, on the takeover offer by private equity group Ironbridge Capital, for all of the securities in CanWest MediaWorks (NZ) Limited. CanWest MediaWorks (NZ) Limited owns TV3 and Radio Live.
- Acted for ABN Amro and Freightways in the initial public offering of Freightways.
- Acted for the Crown in the privatisation of Contact Energy by way of trade sale and international IPO.
- Acted for the Crown in the privatisation of Auckland International Airport by way of international IPO.
- Acted for Auckland International Airport in relation to a public offer of up to $400 million listed fixed and floating rate bonds.
- Acted as global legal co-ordinator for Norske Skog in its successful acquisition of Fletcher Challenge Paper.
- Advised Tranz Rail in relation to a number of its restructuring initiatives including an extensive internal restructuring, the sale of Tranz Scenic, the sale of the Auckland rail corridor, rights issue and track sale to the Crown, the Toll takeover and insider trading investigation.
- Acted for NZX on the successful IPO (including rights issue) of NZX.
- Represented Vector on its acquisition of AGL's interest in National Gas Corporation and associated takeover offer.
- Acted for the Underwriters of $250 million Culmulative Exchange Preference Shares in News and Media NZ Limited.
- Acted for Kiwi Income Property Trust in relation to a public offer of $143 million mandatory convertible notes.
